Deal Pros AI Policy

1. Purpose

Deal Pros uses artificial intelligence (AI) to help business brokers, M&A advisors and other professionals work faster. This policy explains where AI is used, what it can and can't access, who controls it, and what we expect of users. It applies to every AI feature in the Deal Pros platform.

2. Our principles

  • AI where it's permitted. Protected information stays outside AI.
  • Enforced by the software, not by instructions to the AI. A request that includes protected content is refused before anything is sent to an AI provider. We never rely on telling an AI model "don't read this."
  • Your organization decides. Each organization sets its own AI policy, and Deal Pros enforces it.
  • Humans stay in charge. AI output is a draft for a professional to review. It doesn't replace licensed brokers, attorneys, CPAs, appraisers, lenders or compliance staff.
  • We don't overstate. We only describe protections we've built and tested.

3. Where AI is used

AI powers features such as DealPilot (the in-app assistant), drafting help for emails, broadcasts and Q&A replies, marketing and blog content, document and checklist assistance, research and market tools, and deal analysis tools. Some features run on a schedule (for example, checklist suggestions and scheduled content), and all of them pass the same policy check.

4. Data Room AI Protection

  • Every Data Room is created with Data Room AI Protection ON.
  • While it's on, Deal Pros blocks the room's documents, and anything Deal Pros derives from them (extracted text, summaries, search indexes, embeddings, cached excerpts), from being sent to or processed by AI.
  • Ordinary, non-AI software functions keep working: secure storage, access control, previews, filename matching, audit logs and downloads.
  • Only an Organization Owner can turn protection off, through a deliberate process with written acknowledgments and a typed confirmation. Deal Pros records the authorization, emails a confirmation, and provides a PDF record.
  • Anyone who can manage the room can turn protection back on at any time, and it takes effect immediately.
  • Deal Pros staff have no routine override of your Data Room protection.

5. Content protected from AI outside Data Rooms

Users can mark notes, conversations, tasks, deal financials, CIMs, valuations, contacts, companies, leads and deal records as Protected from AI. AI requests that include a protected item are refused before anything is sent. Only an Owner or Admin can remove that mark.

6. Your organization's AI policy

Each organization has an AI policy covering categories such as general workspace AI, DealPilot, CRM, conversations, notes, marketing, financial data, confidential documents, Data Rooms, signed documents, personal information, automated communications, external connectors and autonomous agents. Each category is Allowed, Restricted or Blocked.

  • The most restrictive setting always wins, across organization, workspace, deal, Data Room and individual item.
  • Admins can make policy stricter. Only the Organization Owner can make it less strict.
  • Every change is versioned and logged with who made it and why.

7. AI providers

Deal Pros sends AI requests only to providers listed in our internal AI Provider Registry, and only for the data categories each provider is approved for. Today no provider is approved for Data Room or confidential-document content. Approval for those categories requires verified retention and training terms. The providers we use and the facts we've verified are listed in the app under Settings → AI Policy & Governance → Providers. Facts we haven't verified are shown as unknown, not assumed.

What we've verified today:

  • Our platform provider (Lovable) states that data from users of apps built on it, including Deal Pros, is not used to train its AI models.

8. If something can't be determined

If Deal Pros can't determine whether content is protected, can't read an organization's policy, or can't confirm that a provider is approved, the AI request is denied. Unknown never means permitted.

9. Your responsibilities

Deal Pros can enforce AI restrictions while protected information stays inside an AI-protected area or keeps its protected classification. You are responsible for making sure that information you independently enter, upload, copy, paste, type or otherwise send into AI-enabled features is authorized for AI processing. In particular:

  • Don't paste content from a protected Data Room or a protected item into DealPilot or other AI features unless your organization permits it.
  • Follow your brokerage's, employer's, clients' and professional obligations about confidential information and AI.
  • Deal Pros controls don't, by themselves, constitute approval from your brokerage, employer, regulator, attorney or client.

10. Records and transparency

  • DealPilot can tell you what it can access for any deal, using the same rules the system enforces.
  • Each deal shows an AI Access Map.
  • Organization Owners can download an AI Governance report (PDF and CSV) for brokers, compliance teams and auditors.
  • We log AI governance decisions as metadata only (who, what category, which item, allowed or denied, and why), never the content of your documents or prompts.

11. Autonomous actions and communications

Some Deal Pros features create and send content automatically, such as scheduled blog posts and digests. They are governed by the automated communications category and pass the same policy check as every other AI request. Autonomous AI agents are their own category and are blocked in every preset policy profile.

12. Incidents

If we find that protected content may have reached an AI provider, we contain it, investigate, and notify affected Organization Owners as described in our incident process.

13. Changes to this policy

We version this policy. When we change what AI can access, we update the version and ask users to acknowledge the new version in the app before continuing. We won't silently change what AI may access.
