Buyer Qualification Without Killing Momentum

The trade-off
Every advisor knows the tension: under-qualify and you waste weeks on tire-kickers; over-qualify and the buyers who would actually close walk away frustrated.
The answer is progressive qualification — each stage of buyer access unlocks the next level of disclosure.
Three-tier access model
Tier 1 — Teaser (no NDA)
- Industry, geography, revenue range, EBITDA range, asking price (sometimes)
- Goal: filter buyers who will not pursue this size or sector
Tier 2 — CIM access (NDA executed)
- Full CIM, redacted financials, anonymized customer concentration
- Goal: confirm strategic fit and rough valuation alignment
Tier 3 — Full data room (LOI or proof of funds)
- Customer names, full financials, contracts, employee data
- Goal: enable real diligence
The biggest mistake we see: skipping Tier 2 and dumping LOIs straight into Tier 3 access. Buyers who never signed an NDA end up with sensitive data, and the seller has no recourse.
Operationalize it in a deal room
In DealPros each buyer participant gets a role (Tier 1 / Tier 2 / Tier 3) and file shares cascade from the folder level. Moving a buyer to Tier 3 is a single click that opens the right folders — and revoking is just as fast.
What to measure
- Time from teaser send → NDA execution (good: < 7 days)
- Time from CIM → LOI (good: < 30 days)
- Drop-off rate at each tier (if > 80% drop at Tier 2, the CIM is the problem; if > 80% drop at Tier 3, your asking price is the problem)
