Deal Pros Acceptable Use Policy

This Acceptable Use Policy applies to everyone who uses the Deal Pros platform. That includes Customers, their Users and their Guests. It forms part of the Platform Terms of Service. Capitalized terms have the meanings in the Platform Terms.

1. General conduct

You must not use the Service to:

  1. Break any law or regulation. That includes:
    • securities, real estate, business-brokerage and licensing laws;
    • consumer-protection, anti-spam and telemarketing laws, such as CAN-SPAM and the TCPA;
    • privacy laws;
    • anti-discrimination and fair-housing laws.
  2. Infringe anyone's intellectual property, privacy or publicity rights, or breach a confidentiality obligation you owe. Examples include sharing a confidential information memorandum outside the terms of a non-disclosure agreement, or uploading another firm's materials without permission.
  3. Upload or send anything fraudulent, deceptive or defamatory. That includes falsified financial statements and misrepresentations of a business offered for sale.
  4. Send spam, unsolicited bulk messages, or messages to people who have opted out. Text messages may be sent only to people who have consented to receive them. Recipients who reply STOP must be honored.
  5. Impersonate any person or organization, or misrepresent your licensure, your brokerage affiliation, or your relationship with Deal Pros or MichaelGarsow LLC.
  6. Upload malware, or anything designed to disrupt, damage or gain unauthorized access to systems or data.
  7. Store data the Service is not designed for without the protections in Section 3. Examples are government identification numbers, health information, and bank or card credentials.

2. Security and integrity

You must not:

  1. Access, or try to access, another organization's data, or any part of the Service you have not been given access to.
  2. Probe, scan or test the vulnerability of the Service without Deal Pros' written permission.
  3. Bypass, disable or interfere with security, access-control, two-factor or AI governance controls. The only exception is using features Deal Pros provides for that purpose, such as the Organization Owner's Data Room AI authorization.
  4. Share your login, or let anyone else use your account.
  5. Use bots, scrapers or automated means to access the Service, except through features or integrations Deal Pros provides.
  6. Overload the Service, or use it in a way that degrades performance for others.
  7. Use the Service to build or train a competing product.

3. Data Rooms, protected content and AI

  1. Keep confidential deal documents in Data Rooms, and leave Data Room AI Protection on unless your Organization Owner has authorized otherwise.
  2. Do not copy, paste, upload or retype content from an AI-protected Data Room or item into an AI Feature unless your organization's AI policy and the relevant client and brokerage permissions allow it.
  3. Do not ask AI Features to produce content that:
    • violates law or professional rules;
    • discriminates against anyone on the basis of a protected characteristic;
    • discloses confidential information you are not authorized to disclose.
  4. Review AI output before you rely on it or send it to anyone. Do not present AI output as the opinion of a licensed professional unless that professional has reviewed and adopted it.
  5. Do not submit another person's personal information to AI Features without a lawful basis to do so.

4. Guests

Guests may use only the Data Rooms, portals, forms and signature requests they were invited to, and only for the purpose of the transaction. Guests must comply with any non-disclosure agreement or access terms presented to them. Guests must not download, forward or reuse materials beyond what those terms permit.

5. Enforcement

Deal Pros may investigate suspected violations. Deal Pros may also remove content, or suspend or terminate access, under the Platform Terms. Where practical, Deal Pros will notify the Organization Owner and give the Customer a chance to address the problem first. Deal Pros may report unlawful activity to the appropriate authorities.
