Deal Pros Platform Privacy Notice

This notice explains how Deal Pros, LLC ("Deal Pros," "we," "us") handles personal information in the Deal Pros subscription platform (the "Service"). Our Website Privacy Statement covers visitors to the public website at dealpros.co.

1. Our role

  • Customer Data. This is the deal, client, contact and document information that subscribing organizations ("Customers") and the people they invite put into the Service. We process it on the Customer's behalf, as its service provider, under our Data Processing Addendum. If you are a client, buyer, seller or other contact of a Customer, that Customer decides how your information is used, so please contact them with requests.
  • Account and service information. This is information about the people who use the Service: their logins, billing, support requests and usage. We decide how it is used, and this notice describes how.

2. Information we process

  1. Account information. This covers your name, email, phone number, organization, role, password (stored as a hash), two-factor settings, profile photo and preferences.
  2. Customer Data. This covers:
    • contacts, companies, deals, tasks, notes and pipelines;
    • Data Room and other uploaded files;
    • forms and responses;
    • messages and emails sent through the Service;
    • e-signature requests and signature evidence, such as the signer's name, email, time and IP address.
  3. Connected-service data. When your organization connects a service such as Microsoft Outlook or Teams, Dropbox, DocuSign or Google, we exchange the data needed for the feature you turned on. Examples are calendar events, emails you choose to sync, and files.
  4. Billing information. This covers your plan, invoices and billing contact. Card and bank details are collected and held by our payment processor, Stripe. We do not store them.
  5. Usage, device and security information. This covers:
    • pages and features used;
    • IP address, browser and device type;
    • sign-in events;
    • error reports;
    • audit logs of security-relevant actions;
    • AI governance decisions, which are recorded as metadata without the content.
  6. Public business information. Some research features retrieve publicly available business information, such as company registrations, public notices and web pages, when a User asks for it.

3. How we use it

We use personal information to:

  • provide, maintain and support the Service;
  • authenticate Users and keep the Service secure;
  • process payments;
  • send service, security and transactional messages;
  • carry out the features Customers and Users ask for, including AI Features where permitted (Section 4);
  • enforce our terms;
  • comply with law.

We may use aggregated, de-identified usage statistics to improve the Service.

We do not sell personal information. We do not share it for cross-context behavioral advertising. We do not use Customer Data to train AI models.

4. AI processing

When you use an AI Feature, the content needed for that request is sent to one of our AI providers to generate a response. Before any content is sent, Deal Pros applies your organization's AI policy and checks that the provider is approved for that category of data.

Content in an AI-protected Data Room, and content marked Protected from AI, is never sent to an AI provider. Data Room AI Protection is on by default, and only the Customer's Organization Owner can turn it off.

We record each AI governance decision as metadata. Those records show who made the request, which feature, which category of data and the outcome, but not the content. Our AI Policy at dealpros.co/ai-policy has more detail.

5. How we share it

We share personal information only:

  • with the subprocessors on our Subprocessor List at dealpros.co/legal/subprocessors, to operate the Service;
  • with services your organization chooses to connect;
  • within your organization and with the Guests your organization invites, according to the access your organization sets;
  • with MichaelGarsow LLC, as needed to administer Co-Listing Commission Split Agreements for Customers on plans with the co-listing requirement;
  • if required by law or legal process, or to protect the rights, safety and security of our users, the public or Deal Pros;
  • in connection with a merger, acquisition or sale of assets, subject to this notice.

6. Where it is processed

Our primary database is hosted in the United States (AWS us-east-1). Our server functions are set to run there for calls from the application and our scheduled jobs. Some service providers, including AI providers, may process information in other locations. We do not claim that all processing happens in the United States.

7. How long we keep it

  • Customer Data. We keep it while the Customer's subscription is active. After the subscription ends, the Customer can request an export for 30 days. We delete Customer Data within 90 days after the subscription ends. Database backups expire within 7 days after that. Files in storage are not kept in backups. Copies your organization exports or backs up to its own services, such as a connected Dropbox account, are controlled by your organization.
  • Signed agreements and signature evidence, billing and tax records, and security, audit and AI governance records. We keep these for 7 years after the subscription ends, or longer while needed for a legal claim.
  • Account information for a removed User. We delete or de-identify it within 90 days after removal. Records in the categories just above are kept as described there.
  • Operational logs. Logs such as job and request logs are kept for between 3 days and 2 years, depending on the log.

8. Security

We protect personal information with safeguards that include the following:

  • row-level tenant isolation on every database table;
  • role-based access;
  • two-factor authentication;
  • encrypted connections;
  • private file storage;
  • fail-closed AI governance controls;
  • audit logging.

Our Data Processing Addendum describes these in more detail. No system is perfectly secure. If a security incident affects your information, we will notify the affected Customer, and where required by law, affected individuals.

9. Your choices and rights

  • Users. You can update your profile and turn on two-factor authentication in the Service. You can also ask us to access, correct or delete your account information by contacting support@dealpros.co. We may need to verify your identity. We will respond within 45 days, or as required by the law of your state.
  • Contacts of our Customers. Please direct requests to the Customer that holds your information. We will help them respond.
  • Email and text messages. You can unsubscribe from marketing email at any time using the link in the email. You can reply STOP to any text message. Service and security messages cannot be turned off while you have an account.
  • California and other states. Depending on where you live, you may have the right to know, access, correct, delete or obtain a copy of your personal information. You may also have the right to opt out of its sale or sharing, which we do not do. We will not discriminate against you for exercising these rights. An authorized agent may make a request on your behalf with your written permission.

10. Cookies and similar technologies

The Service uses essential cookies and browser storage to keep you signed in, remember your preferences and protect against misuse. We send error reports to our error-monitoring provider with personal identifiers removed. The Service does not use advertising cookies or advertising tracking pixels.

11. Children

The Service is for business use by adults. We do not knowingly collect personal information from anyone under 18.

12. Changes

We will post changes to this notice here and update the date above. If a change is material, we will notify Customers by email or in the Service before it takes effect.
